National Catholic Forester 8 Thursday, June 4, 2015 The June quarterly meeting of the Board of Directors of the National Catholic Society of Foresters was called to order by National President Margaret Schmitt on Thursday, June 4, 2015 at 8:25 a.m. in the home office board room. Opening prayer and Pledge of Allegiance were said. Roll call was taken. Present were National President Margaret "Peggy" Schmitt, National Vice President Sally Egan, National Secretary Catherine "Cathy" Hensel, National Treasurer Lisa Bickus; and National Directors David Bonacker, Terence "Patrick" Coleman, Jeanne Filipp, Rosalie Pyle, Sandra Troyanoski, Maria Tupaz. Joining by phone/skype was National Director Jane Uselman. Patrick Coleman moved and second by Sally Egan that the Board of Directors accept the agenda for the June 2015 board meeting as amended. Adopted 10-0. NATIONAL SECRETARY REPORT: Secretary report was given with the following board minutes presented from conference calls between quarterly board meetings: The Board of Directors met on a conference call Monday, April 27, 2015 at 7 p.m. On the call were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel, National Treasurer Lisa Bickus; National Directors Dave Bonacker, Patrick Coleman, Jeanne Filipp, Sandra Troyanoski, Maria Tupaz, Jane Uselman and EVP Jay Schenk. The call opened with prayer. Jeanne Filipp gave the audit committee report. Discussion followed. The committee will read emails from Frank and report back to the Board. Phase two of the audit committee report will be discussed at the June board meeting – if anything comes up the committee will be in touch before Board. Adjourned with prayer at 9:05 p.m. The Board of Directors met on a conference call Thursday, May 7, 2015 at 7 p.m. On the call were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel, National Treasurer Lisa Bickus; National Directors Dave Bonacker, Patrick Coleman, Jeanne Filipp, Sandra Troyanoski, Maria Tupaz and Jane Uselman. Topic of discussion was the Andesa contract. We have not seen the final summary of total cost from Jay. We need to negotiate a contract with Terry Champ (programmer). Open board position was discussed. Annuity rates and pension plan were discussed. Adjourned meeting with prayer at 10 p.m. The Board of Directors met on a conference call Monday May 11, 2015 at 7 p.m. On the call were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel, National Treasurer Lisa Bickus; National Directors Dave Bonacker, Patrick Coleman, Jeanne Filipp, Sandra Troyanoski, Maria Tupaz and Jane Uselman. Topic of discussion: Motion made by Lisa Bickus – the finance committee moves to raise the renewal rate on Annuities from 2.25% to 3.00%, effective May 15, 2015. Finance committee will review the annuity rates monthly to determine if the threshold of $10,000,000.00 is adequate or if annuity rates will need to be adjusted to maintain sufficient profitability. Motion adopted. 9-0 Finance committee moves to: Approve the ERISA 204(h) notice that must be distributed to the NCSF active pension participants by law. In addition, a letter on behalf of the national directors with our president's signature. Motion adopted 9-0 Jane Uselman moved to hire a temporary part-time employee for member services at a salary to be determined by the executive committee. Second, Patrick Coleman. Motion adopted 9-0. Jane Uselman moved to hold the vote to select the national director tonight, Sally Egan second. Motion carried. 5 yes, 3 no. Sally Egan moved, second Jane Uselman to appoint Rosalie Pyle as the newest board member. Motion carried 6 yes, 3 no. Jeanne Filipp announced that the audit committee will meet with Frank J. Baker Company on June 1.
