Spring 2016 — www.ncsf.com 7 Minutes of the quarterly meeting of the Board of Directors of National Catholic Society of Foresters. Thursday, March 17, 2016 The March 2016 Board of Directors meeting was opened with prayer and reflection by Father Joji, from St. James Parish of Arlington Heights, at 8:15 a.m. Thursday, March 17 in the conference room in the Comfort Inn of Arlington Heights, Illinois. The meeting was officially called to order by President Margaret Schmitt at 8:55 a.m. Pledge of Allegiance was said and roll call was taken. Present were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel, National Treasurer Brian Lawless; National Directors David Bonacker, Terence "Patrick" Coleman, Jeanne Filipp, Rosalie Pyle, Sandra Troyanoski and Jane Uselman. Director Maria Tupaz joined by Skype. Chief Operations Officer Lisa Bickus was also present. Jane Uselman moved that the Board of Directors accept the agenda for the March 2016 board meeting. Second by Rosalie Pyle. Motion adopted 11 yes, 0 no. Jeanne Filipp moved that we accept Cathy Hensel's secretary report as submitted. Second Sally Egan. Motion adopted 11 yes, 0 no. National Officers Conference Call Conference call was held at 2:15 p.m. Tuesday, Dec. 15, 2015. On the call were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel; Finance Committee members, chairperson Jeanne Filipp and Maria Tupaz. Also on the call was COO Lisa Bickus. Topic of the call was the defined benefit plan for the NCSF employees. President Margaret Schmitt turned the gavel over to Vice President Sally Egan, since President Schmitt is a participant in the defined benefit plan. Jeanne Filipp for the finance committee moved that "Effective January 1, 2016, the National Catholic Society of Foresters' defined benefit plan will not be open to new participants." Voting were officers Sally Egan and Catherine Hensel. Motion adopted 2-0. The call ended at 2:50 p.m. Board Conference Calls The board conference call was held on Wednesday, January 6, 2016 at 7:15 p.m. On the call were National President Margaret Schmitt, National Secretary Catherine Hensel, Board of Directors David Bonacker, Terence "Patrick" Coleman, Jeanne Filipp, Sandra Troyanoski, Maria Tupaz, Jane Uselman; and Chief Operations Officer Lisa Bickus. Absent were Sally Egan and Rosalie Pyle. The meeting started with prayer. The topic of the conference call was a recommendation from the Personnel Committee regarding the appointment of someone to fill the National Treasurer's position. Meeting adjourned at 8:50 p.m. The Board Conference call was held 7 p.m. on January 13, 2016. On the call were National President Margaret Schmitt, National Vice President Sally Egan, National Secretary Catherine Hensel and Directors Terence "Patrick" Coleman, Rosalie Pyle, Sandra Troyanoski, Maria Tupaz, Jeanne Filipp, Jane Uselman; and Chief Operations Officer Lisa Bickus. Absent was David Bonacker. Main topic of discussion was the appointment of a candidate for National Treasurer. COO Bickus presented her report, then left the call. Her 90-day evaluation procedure and possible pay increase was discussed. All board members and managers will do an evaluation of COO Bickus. Call ended at 9:25 p.m. Attorney Todd W. Martin facilitated a Board of Directors Enrichment Session, covering Board of Directors Duties and Responsibilities; Fraternal Governance Best Practices; Use of Board Committees; Board Policies and Enforcement; and Status and Future of the Fraternal Benefit System. Attorney Martin also helped the Board work on the Articles of Incorporation and Bylaws to meet new regulations coming from the National Association of Insurance Commissioners (NAIC). Controller Frank M. Janczak presented the NCSF fourth quarter and full year 2015 highlights along with the financial report. Board recessed for dinner. After returning from dinner all Board members were present except for Brian Lawless, Jeanne Filipp and Maria Tupaz. From the National Secretary continued on page 8
