Because of the importance of the new laws and the government's rededication to their enforcement, before we go further on the topic of developing a subcontractors' work agreement policy, I just wanted to reiterate this reminder to first check how your current subcontractor agreements are structured to be sure they are classified as true subcontractors and not employees. This is very important. No doubt this increased enforcement action is directly linked to the implementation of the Affordable Care Act, more commonly known as Obamacare. Seriously though, this clampdown on the differentiation between subcontractors and actual employees is for real and is not going away anytime soon, so the more you know about it, the better you can protect yourself and your company from costly classification mistakes. The IRS has a program called VCSP – Voluntary Classification Settlement Program, with which you need to familiarize yourself. Also in this IRS memorandum, they reference "The 20 Common Law Factors" that go to Revenue Ruling 87-41. I cannot over-emphasize the importance of knowing exactly what the rules of classification for employees and subs are. OK, now that we have a clear definition of who our subcontractors are, let's begin to look at how we can construct guidelines and rules of conduct for these subcontractors. A true, comprehensive Work Agreement Policy for Subcontractors can and should be quite detailed and thorough. Herein is an example of where more is, indeed, more. Anything left out, no matter how small or trivial it may appear, could come back to bite you.
